1. Acceptance of Terms

By downloading, installing, accessing, or using the Maia application ("App", "Service"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Moraalink ("Company", "we", "us", "our").

If you do not agree to these Terms, you must immediately uninstall the App and cease all use of the Service.


2. Description of Service

Maia is an AI-powered personal companion application that provides:

  • Voice-based interaction with an artificial intelligence system.
  • Speech recognition (speech-to-text) and text-to-speech capabilities.
  • AI-generated conversational responses.
  • Optional wellness features (relaxation mode, sleep mode, eating mode).
  • Push notification messaging.
  • Optional caregiver/supervisor association features.
  • Optional emergency alert functionality.

The Service is provided "as-is" and "as-available" and is subject to change, suspension, or discontinuation at any time without prior notice.


3. Eligibility

To use Maia, you must:

  • Be at least 13 years of age (or the minimum age required by applicable law in your jurisdiction).
  • Have a valid Google account for authentication purposes.
  • Have a compatible Android device running Android 9 (API Level 28) or higher.
  • Have access to a stable internet connection.

If you are under the age of 18 (or the age of majority in your jurisdiction), you must have the consent of your parent or legal guardian to use the Service.


4. User Account and Authentication

4.1 Account Creation

  • You must sign in using your Google account via Google OAuth 2.0 and Firebase Authentication.
  • You are responsible for maintaining the security of your Google account credentials.
  • You must provide accurate and complete information during registration and profile setup.

4.2 Account Responsibility

  • You are solely responsible for all activities that occur under your account.
  • You must immediately notify us at Service@moraalink.com if you become aware of any unauthorized use of your account.
  • We are not liable for any loss or damage arising from unauthorized use of your account.

4.3 Account Termination

  • You may stop using the Service at any time by uninstalling the App and requesting account deletion at Service@moraalink.com.
  • We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice.

5. Acceptable Use

5.1 You Agree NOT To:

  1. Use the Service for any unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable purpose.
  2. Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
  3. Attempt to interfere with, disrupt, or overload the Service, servers, or networks connected to the Service.
  4. Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
  5. Use the Service to transmit any viruses, malware, or other malicious code.
  6. Use the Service to impersonate any person or entity.
  7. Use the Service to collect or store personal data of other users without their consent.
  8. Use automated systems, bots, or scripts to access the Service in a manner that sends more requests than a human could reasonably produce in the same period.
  9. Use the Service for any commercial purposes without our prior written consent.
  10. Circumvent, disable, or otherwise interfere with security features of the Service.

5.2 Content You Provide

  • You are solely responsible for the content of your voice interactions and text communications with the AI.
  • You must not use the Service to create, transmit, or store content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise objectionable.
  • We reserve the right to review, filter, or remove content that violates these Terms.

6. AI-Generated Content

6.1 Nature of AI Responses

  • Maia uses artificial intelligence to generate conversational responses. AI-generated content is produced algorithmically and may not always be accurate, complete, or appropriate.
  • AI responses are for informational and entertainment purposes only and do NOT constitute professional advice of any kind (including but not limited to medical, legal, financial, or psychological advice).
  • You should NOT rely on AI-generated content for making important decisions.

6.2 No Warranty of Accuracy

  • We make NO representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content.
  • AI-generated responses may contain errors, inaccuracies, or outdated information.
  • We are NOT responsible for any actions taken based on AI-generated content.

6.3 Content Ownership

  • AI-generated content provided through the Service does not transfer any intellectual property rights to you.
  • We retain all rights, title, and interest in and to the AI models, algorithms, and underlying technology.

7. Health and Wellness Disclaimer

7.1 General Wellness Features

Maia offers optional wellness-related features including relaxation mode, sleep assistance mode, and eating mode. These features:

  • Are intended for general wellness and informational purposes ONLY.
  • Do NOT constitute medical advice, diagnosis, or treatment.
  • Do NOT replace the advice, diagnosis, or treatment of a qualified healthcare professional.
  • Should NEVER be used as a substitute for professional medical care.

7.2 User Responsibility

  • You acknowledge that you use wellness features at your own risk.
  • You should consult a qualified healthcare professional before making any health-related decisions.
  • Moraalink shall NOT be liable for any health-related consequences arising from the use of wellness features.

8. Emergency Alert Disclaimer

8.1 NOT an Emergency Service

  • Maia's emergency alert functionality is NOT a substitute for official emergency services (e.g., 112, 911, or any local emergency number).
  • The emergency alert feature is provided "as-is" without any guarantee of availability, reliability, accuracy, or timeliness.
  • The feature depends on internet connectivity, server availability, and third-party services, all of which may fail or be unavailable.

8.2 Limitation of Liability for Emergency Features

  • IN NO EVENT shall Moraalink, its officers, directors, employees, agents, or affiliates be liable for any damages, injuries, deaths, losses, or costs of any kind arising from or related to the use of, inability to use, or reliance on the emergency alert functionality.
  • In case of a genuine emergency, you MUST contact official emergency services directly.
  • You expressly agree that Moraalink bears NO responsibility for the failure of the emergency alert feature to function as expected.

8.3 Caregiver/Supervisor Feature

  • The caregiver/supervisor association feature allows users to designate authorized contacts.
  • Moraalink does NOT guarantee that designated caregivers or supervisors will receive, acknowledge, or respond to any alerts or notifications.
  • Moraalink is NOT responsible for the actions or inactions of designated caregivers or supervisors.

9. Push Notifications

  • By using the Service, you consent to receiving push notifications from Maia via Firebase Cloud Messaging.
  • Notifications may include AI-initiated messages, system alerts, and service updates.
  • You may disable push notifications at any time through your device settings.
  • We are NOT responsible for any delays, failures, or interruptions in the delivery of push notifications caused by third-party services (Firebase, Google, device manufacturers) or network conditions.

10. Third-Party Services

10.1 Integrated Services

The Service relies on third-party services including:

  • Microsoft Azure Cognitive Services (speech processing)
  • Google Firebase (authentication, push notifications)
  • Google Play Services (authentication)

10.2 Third-Party Terms

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are NOT responsible for the practices, content, or availability of third-party services.

10.3 Service Disruptions

We are NOT liable for any disruption, suspension, or discontinuation of the Service caused by:

  • Failure or unavailability of third-party services.
  • Internet connectivity issues.
  • Device compatibility issues.
  • Force majeure events (natural disasters, wars, pandemics, government actions, etc.).

11. Intellectual Property

11.1 Ownership

  • The App, including its design, code, content, features, functionality, AI models, algorithms, graphics, user interface, and all related intellectual property, is owned by Moraalink and is protected by international intellectual property laws.
  • The Maia name, logo, and all related trademarks are the property of Moraalink.

11.2 Limited License

  • We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a compatible device for personal, non-commercial use, subject to these Terms.
  • This license does not give you any ownership rights in the App or its content.

11.3 Restrictions

You may NOT:

  • Copy, modify, distribute, sell, or lease any part of the App.
  • Reverse-engineer, decompile, or disassemble the App.
  • Remove any copyright, trademark, or other proprietary notices from the App.
  • Create derivative works based on the App.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORAALINK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  1. IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, and non-infringement.
  2. WARRANTIES OF ACCURACY — that AI-generated content will be accurate, complete, or reliable.
  3. WARRANTIES OF AVAILABILITY — that the Service will be uninterrupted, timely, secure, or error-free.
  4. WARRANTIES OF RESULTS — that the Service will meet your requirements or expectations.
  5. WARRANTIES OF SECURITY — that the Service will be free from viruses, malware, or other harmful components.

13. Limitation of Liability

13.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MORAALINK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  1. INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
  2. DAMAGES ARISING FROM:
    • Your use of or inability to use the Service.
    • Any AI-generated content or responses.
    • Unauthorized access to or alteration of your data.
    • Statements or conduct of any third party on the Service.
    • Any other matter relating to the Service.
  3. PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE arising from the use of or reliance on the Service, including but not limited to the emergency alert feature and wellness features.

13.2 Maximum Liability

IN ANY CASE, MORAALINK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO MORAALINK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TEN EUROS (€10.00), WHICHEVER IS GREATER.

13.3 Applicability

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.


14. Indemnification

You agree to indemnify, defend, and hold harmless Moraalink, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of or access to the Service.
  2. Your violation of these Terms.
  3. Your violation of any third-party rights, including intellectual property or privacy rights.
  4. Any content you provide through the Service.
  5. Your negligent or wrongful conduct.

15. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, available at Privacy Policy. By using the Service, you agree to the terms of our Privacy Policy.


16. Modifications to the Service

We reserve the right to, at any time and without prior notice:

  • Modify, suspend, or discontinue any part of the Service.
  • Add or remove features or functionality.
  • Impose limits on certain features or restrict access to parts of the Service.
  • Change the technical requirements for the Service.

We shall NOT be liable to you or any third party for any modification, suspension, or discontinuation of the Service.


17. Changes to These Terms

We may update these Terms from time to time. Changes will be effective when posted. We will notify you of any material changes by:

  • Posting the updated Terms within the App.
  • Updating the "Last Updated" date at the top of this document.

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.


18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

18.2 Dispute Resolution

  • Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.
  • If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts of the Netherlands.

18.3 Waiver of Class Actions

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.


19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.


20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Moraalink regarding the use of the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.


21. Waiver

The failure of Moraalink to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Moraalink.


22. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Moraalink may assign these Terms without restriction.


23. Force Majeure

Moraalink shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, epidemics, government actions, power failures, internet disruptions, or third-party service failures.
